Agreement
By accessing or using irpr.io (the "Site") or engaging IRPR ("we," "us," "our") for software development services, you agree to these Terms of Service. If you do not agree, do not use the Site or our services.
Services
IRPR is a software development studio. We provide custom web applications, mobile apps, AI integrations, SaaS MVPs, e-commerce platforms, cloud infrastructure, UI/UX design, and data engineering services to clients globally.
The specific scope, deliverables, timeline, and fees of any engagement are governed by a written Statement of Work (SOW) signed by both parties. These Terms apply in addition to any SOW.
Use of the Site
You agree to use irpr.io only for lawful purposes. You will not:
- Use the Site in a way that violates any applicable law or regulation
- Attempt to gain unauthorised access to any portion of the Site or our systems
- Interfere with or disrupt the Site, servers, or networks
- Use any bot, scraper, or other automated means to access the Site for commercial purposes
- Reverse engineer, decompile, or attempt to extract our source code
- Use the Site to harass, defame, or harm any person
Intellectual Property
Our IP
The Site and all content, features, and functionality (including code, text, graphics, logos, and design) are owned by IRPR and protected by copyright, trademark, and other intellectual property laws.
Your IP (Client work)
For client engagements, all custom code, designs, and deliverables created specifically for you transfer to your ownership upon full payment, as detailed in your SOW. You retain ownership of any pre-existing materials you provide to us.
Open source and third-party
Deliverables may include open-source libraries and third-party tools subject to their own licenses. We disclose all such dependencies in project documentation.
Engagement Terms
Fixed-price engagements
Most IRPR engagements are fixed-price, fixed-scope, fixed-timeline. Scope, deliverables, milestones, and payment schedule are defined in your SOW. Changes to scope are handled via written change orders with associated cost and timeline impacts.
Payment
Standard terms are 50% upfront, with remaining payments tied to milestones. Invoices are payable within 14 days unless otherwise agreed. Overdue invoices accrue interest at 1.5% per month or the maximum permitted by law.
Cancellation
Either party may terminate an engagement with written notice. You pay for work completed up to the termination date. Pre-paid amounts not yet earned are refundable. Specific cancellation terms are detailed in each SOW.
Confidentiality
IRPR maintains strict confidentiality about all client information, project details, and business data shared during an engagement. We sign mutual NDAs on request. Our team is contractually bound to confidentiality obligations.
Warranties & Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that the Site will be error-free, uninterrupted, or free from viruses or other harmful components.
The Site is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
To the maximum extent permitted by law, IRPR shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Our total liability for any claim arising from these Terms or any engagement shall not exceed the fees paid by you to IRPR in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless IRPR, its directors, employees, and partners from any claim or demand arising out of your use of the Site or violation of these Terms.
Governing Law
These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction. The prevailing party in any action shall be entitled to recover reasonable attorney fees.
Changes
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Site. Continued use after changes constitutes acceptance.
